General terms and conditions

For a room booking and a day ticket in open coworking or team offices at
Digitaler Hub Region Bonn AG, Rheinwerkallee 6, 53227 Bonn
§ 1 Scope
(1) The following general terms and conditions apply to all services provided by Digitaler Hub Region Bonn AG as part of a room booking or a day ticket to its contractual partner, hereinafter referred to as the user.
(2) These general terms and conditions apply exclusively. All of the contractual partner's terms and conditions are expressly rejected; they do not apply.
(3) The offer is aimed both at entrepreneurs within the meaning of Section 14 BGB and at consumers within the meaning of Section 13 BGB.
§ 2 Subject matter of the contract
(1) Digitaler Hub RegionBonn AG will hand over the rooms intact and clean and with the equipment specified on the website. Users are required to treat the premises and equipment with care and to leave them undamaged. Garbage and obvious contaminants must be removed. Otherwise, Digitaler Hub Region Bonn AG reserves the right to charge an appropriate cleaning fee.
(2) The official opening hours of Digitaler Hub Region Bonn AG are as follows: Monday - Friday: 09:00 - 18:00. Bookings outside these hours are possible, but require the prior creation of an access account via the “Tapkey” app and the deposit of a copy of an identity document. This will be destroyed after booking and will be used by Digitaler Hub Region Bonn AG exclusively to verify the user's identity in the event of damage.
(3) Receiving Tapkey access is not a requirement for using the premises and is no basis for cancellation. Users are responsible for providing a correct email address and informing Digitaler Hub Region Bonn AG within business hours of any difficulties with registering with Tapkey.
(4) The “beverage flatrate” and “catering” products are booked per registered participant and per day and is limited to the amount of drinks and other food available on site.
§ 3 Prices and terms of payment
(1) The prices shown are net prices plus the applicable sales tax and relate only to the services specified.
(2) The usage fee is due for payment immediately.
(3) Digitaler Hub Region Bonn AG reserves the right to adjust prices, services and packages with a notice period of three months. Members' right of termination remains unaffected.
§ 4 Duties and liability of users
(1) Users must handle all items with care and return them properly. For all damage, destruction or excessive wear and tear that goes beyond the contractual use of the infrastructure (network, furniture, servers, etc.), they are liable for the resulting damage.
(2) Users are also required to remain calm within common areas and not to disturb other people. You are required to refrain from loud telephone calls, conversations, etc. in the common areas and to go to appropriate other rooms for this purpose.
(3) Common areas must also be left clean and tidy after use. In the event of non-compliance, Digitaler Hub Region Bonn AG is entitled to initiate cleaning and clean-up work at the expense of the perpetrator.
(4) Users do not gain unauthorized access to the infrastructure through hacking or other practices.
(5) Users agree to the WLAN terms of use of Digitaler Hub RegionBonn AG. This includes, among other things, the failure to participate in competitions, the sending of SPAM emails, the violation of the personal rights of third parties, etc.
(6) Users must also be able to prove liability or corporate liability when concluding a contract. Business users have notified their insurance company that the office used is part of a unit of use in which other people use additional offices. In addition, there is no insurance coverage for personal belongings. It is recommended that users also take out appropriate insurance for this.
§ 5 Liability of Digitaler HubRegion Bonn AG
(1) Users have taken note that the workplaces are located in an open-plan office when booking “open coworking” and in a closed team office next to “TeamBüro”. In this respect, you waive any claims under Sections 536, 536a BGB.
(2) Digitaler Hub Region Bonn AG is not liable for the culpable conduct of other users.
(3) Digitaler Hub Region Bonn AG is only liable for damages and expenses in accordance with statutory provisions insofar as its legal representatives and/or employees and/or vicarious agents act intentionally or grossly negligently.
(4) In the event of simple negligence, Digitaler Hub Region Bonn AG is only liable for damage arising from injury to life, limb or health and for damage arising from the breach of an essential contractual obligation (obligation whose fulfilment enables the proper execution of the respective contract in the first place and on whose compliance the customer regularly trusts and may rely), with liability for financial and material damage being limited to the amount of typically foreseeable damage.
(5) Digitaler Hub Region Bonn AG also assumes no liability for infringement of third-party property rights in relation to users' work. (6) Users agree to tolerate temporary work for modernization or maintenance and to refrain from any claims for compensation unless Digitaler HubRegion Bonn AG acts intentionally or grossly negligently.
(6) Nutzer erklären sich bereit zeitweises Arbeiten zur Modernisierung oder Instandhaltung zu dulden und von jeglichen Schadensersatzansprüchen abzusehen, sofern die Digitaler Hub Region Bonn AG nicht vorsätzlich oder grob fahrlässig handelt.
§ 6 Withdrawal and (partial) cancellation
(1) If the user cancels the order for a day ticket, DigitalerHub Bonn Region AG reserves the right to exclude a cancellation and to charge the full amount of the invoice.
(2) If the user cancels a room rental order, Digitaler Hub Bonn Region AG reserves the right to charge a cancellation fee. The cancellation fees are staggered as follows:

If a cancellation is made 30 or less days before the booked date, a cancellation fee of 20% of the booking fee will be charged. If a cancellation is made less than 20 days in advance, 50% of the booking fee must be paid. If you cancel less than 10 days before the room is rented out or if you do not show up, the full booking fee will be charged. Any additional services that have been added to the room booking and cannot be canceled must be paid in the amount of the applicable cancellation fees.

(3) Any additional services that have been added to the room rental and are commissioned by external service providers cannot be canceled and must be paid in the amount of the applicable cancellation fees.
§ 7 Data protection
(1) The data necessary to carry out this room booking is stored by the BonnaG Digital Hub Region by way of data processing and transmitted to the required extent within the scope of the purpose of the contract relationship.
(2) Digitaler Hub Region Bonn AG complies with the regulations under the Federal Data Protection Act and the GDPR.
§ 8 House rules
(1) Users have read the house rules and are obliged to comply with them. The user must oblige persons authorized to use them to comply with the house rules and is responsible for any damage caused by their failure to comply with the house rules.
(2) In accordance with these house rules, the use of cannabis and any type of cigarette is strictly prohibited in all areas of the Hub. This regulation includes smoking, vaping, and any other form of tobacco or cannabis use.
§ 9 Information for consumers
(1) Digitaler Hub RegionBonn AG is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
(2) If the user is a consumer and a distance selling contract has been concluded, it is pointed out that the user has no legal right of withdrawal (see Section 312g (2) BGB).
§ 10 Offsetting, Reduction, Applicable Law, Jurisdiction
(1) The user can only offset payment claims made by Digitaler Hub Region Bonn AG if the user's claim for offsetting is undisputed, legally established or ready for a decision.
(2) The user is only entitled to reduce the usage fee if the reason and amount of the reduction is undisputed or legally established.
(3) The member's right to separately assert any claims for a reduction in repayment of overpaid usage fees or other claims against Digitaler Hub Region Bonn AG remains unaffected by the above provision.
(4) The laws of the Federal Republic of Germany apply to contracts between Digitaler Hub Region Bonn AG and the user.
(5) If the user is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from contractual relationships between Digitaler Hub RegionBonn AG and the user is Bonn.
(6) Digitaler Hub Region Bonn AG reserves the right to change the general terms and conditions without giving reasons within a reasonable scope for members
for a coworking membership of the Digitaler Hub Region Bonn AG
§ 1 General
(1) The following general terms and conditions apply to all services that Digitaler Hub Region Bonn AG provides to its contractual partner, hereinafter referred to as a member, as part of the coworking membership.
(2) These general terms and conditions apply exclusively. All terms and conditions of the contractual partner are expressly rejected; they do not apply.
(3) The offer is aimed both at entrepreneurs within the meaning of Section 14 BGB and at consumers within the meaning of Section 13 BGB.
§ 2 Subject matter of contract, conclusion of contract and contract period
(1) The subject of the contract is the usual services of a coworking space, such as the provision of workstations, the use of mailboxes, the use of meeting rooms and the corresponding infrastructure (use of the kitchen, use of the WLAN, use of the printer, etc.).
(2) Members can choose between the following packages in the Coworking Space, DigitalerHub Region Bonn AG, Am Hauptbahnhof 6, 53111 Bonn:
(a) Basic Membership
Members are invited to community events. In addition, they acquire the right to use the address provided by Digitaler Hub Region Bonn AG for business transactions during the contract period. Members may register this business address with the commercial register as their domestic business address.
(b) Plus Membership
In addition to the Basic Membership benefits, members receive a flexible workplace including Internet use (WLAN). Members have full monthly usage rights. This does not include the use of a specific workplace. In addition to using the business address, it is possible to request mail forwarding for letters within Germany by Digitaler Hub Region Bonn AG.
(c) Premium Membership
In addition to Plus Membership benefits, members receive a beverage flat rate and may use the printer to an appropriate extent. Furthermore, they have a 50% discount on all room bookings made by Digitaler Hub Region Bonn AG. With Premium Membership, members also have the option to use the location: Rheinwerkallee 6, 53227 Bonn in addition to the location: Am Hauptbahnhof 6, 53111 Bonn. However, the business address: Am Hauptbahnhof 6, 53111 Bonn must be entered as the business address for receiving mail. Members also receive a mailbox exclusively at this location.
(d) Pro Membership
In addition to Premium Membership benefits, members also receive reserved workstations and their own office space whenever possible.
(3) Members have adequately checked the equipment and offices before the contract was concluded and recognized their functionality and perfect condition. Members can share common areas and common areas (kitchen, toilet, etc.).
(4) The areas described above may only be used for operation as an office for start-up & business development.
(5) The contract is concluded digitally. Members are required to provide all information truthfully and completely. The BonnaG Digital Hub Region reserves the right to view a member's photo ID before and after conclusion of the contract. Should the member's data change following the conclusion of the contract, the member is immediately obliged to communicate it to Digitaler Hub Region Bonn AG. Members are also required to provide a valid billing address.
(6) A contract is only concluded upon acceptance by Digitaler HubRegion Bonn AG following a corresponding request from the member. The online presence of Digitaler Hub Region Bonn AG is simply an invitation to submit an offer.
(7) The contract is for an indefinite period.
§ 3 Registration of members/access to the premises
Members have access to the premises via an electronic access system. The prerequisite for use is a smartphone with an Android or iOS operating system and Internet reception for the occasional renewal of the virtual key. After conclusion of the contract, members must contact Digitaler Hub Region Bonn AG so that they can access the app.
§ 4 Prices and terms of payment
(1) The prices shown are net prices plus the applicable value added tax and relate only to the services specified.
(2) If the contractual relationship does not start on the first of a month, the respective membership for the first month is calculated proportionally in the ratio of the remaining days of the month to the number of days of the entire month.
(3) The usage fee is due immediately after conclusion of the contract. The user fee must be transferred by the third working day of a month. The value of the payment on the account of Digitaler Hub Region Bonn AG is decisive for this.
(4) Digitaler Hub Region Bonn AG also reserves the right to charge a deposit for the use of lockers or the like.
(5) Digitaler Hub Region Bonn AG reserves the right to adjust prices, services and packages with a notice period of three months. Members' right of termination remains unaffected.
§ 5 Duties and liability of the member

(4) Members do not gain unauthorized access to the infrastructure through hacking or other practices.
(5) Members agree to the WLAN terms of use of Digitaler Hub Region Bonn AG. This includes, among other things, the failure to participate in competitions, the sending of SPAM emails, the violation of the personal rights of third parties, etc.
(6) Members must also be able to prove liability or corporate liability when concluding a contract. Members who are entrepreneurs must inform their insurance that the office used is part of a unit of use in which other people use additional offices. In addition, there is no insurance coverage for personal belongings. It is recommended that members also take out appropriate insurance for this.
(7) Members agree to tolerate temporary work for modernization or maintenance and to refrain from any claims for compensation unless Digitaler Hub Region Bonn AG acts intentionally or grossly negligently.
(8) The use of the membership by third parties or even just the transfer of the coworking space with all associated services is prohibited. The use of coworking spaces and common areas (kitchen, etc.) is limited to the contractually agreed purpose. In particular, use for ceremonies is prohibited.
(9) Members themselves are responsible for receiving mail. Digitaler Hub Region Bonn AG is only liable for loss in the event of intent and gross negligence.
(10) When the contract is terminated, members are also required to return all keys to Digitaler Hub Region Bonn AG. If a key is lost or damaged, it must be replaced.
(11) Members must ensure themselves that all tax, commercial and other legal requirements are met. Members must regularly empty the mailbox that is available to them.
§ 6 Liability of Digitaler HubRegion Bonn AG
(1) Members have taken note that the workplaces are located in a metropolitan area and the workplaces provided cannot be locked. You therefore waive any claims under Sections 536, 536 a BGB.
(2) Digitaler Hub Region Bonn AG is not liable for the culpable conduct of other members.
(3) Digitaler Hub Region Bonn AG is only liable for damages and expenses in accordance with statutory provisions if its legal representatives and/or employees and/or vicarious agents act intentionally or grossly negligently.
(4) In the event of simple negligence, Digitaler Hub Region Bonn AG is only liable for damage arising from injury to life, limb or health and for damage arising from the breach of an essential contractual obligation (obligation whose fulfilment enables the proper execution of the respective contract in the first place and on whose compliance the member regularly trusts and may rely), with liability for financial and material damage being limited to the amount of typically foreseeable damage.
(5) Digitaler Hub RegionBonn AG also assumes no liability for the infringement of third-party property rights in relation to members' work.
(6) If mail forwarding has been agreed, Digitaler Hub Region Bonn AG assumes no liability for letters lost in the post.
§ 7 Termination and change of membership
(1) The contractual period of notice is one month to the end of the month.
(2) The termination must be made in writing or can be made digitally by e-mail to the Coworking (welcome@digitalhub.de) and Operations Management (vera.zimmermann@digitalhub.de) of Digitaler Hub Region Bonn AG. Both parties may terminate the contractual relationship without giving reasons.
(3) The right of extraordinary termination remains unaffected. There is an important reason for Digitaler Hub Region Bonn AG in particular if a) the member is in default of payment of the user fee for two consecutive months; b) in a period of more than two months, is in default of payment of the user fee in the amount of an amount that reaches a total service fee for two months; c) the member is significantly in arrears and repeats despite a corresponding warning violates the house rules of Digitaler Hub Region Bonn AG or d) the member Violates the rights of Digitaler Hub Region Bonn AG to a significant extent by significantly endangering the premises or inventory by neglecting the care incumbent upon it or handing it over to a third party without authorization.
(4) Membership can be changed subject to the above mentioned period of notice.
(5) It is possible to switch to a membership with more benefits at the beginning of next month.
(6) Membership can be changed via booking on the online platform.
§ 8 Data protection

(4) The law of the Federal Republic of Germany applies to contracts between Digitaler Hub Region Bonn AG and the member.
(5) Insofar as the member is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from contractual relationships between Digitaler Hub Region Bonn AG and the member Bonn.
(6) Digitaler Hub Region Bonn AG reserves the right to change the general terms and conditions without giving reasons within reasonable limits for members.
